This "End-User License Agreement" is a legal agreement between you and the authors of the Software Product identified above (the "Software", or the "Product"), which Product includes computer Software and may include associated media, printed materials, and "online" or electronic documentation. 

YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THIS PRODUCT. IT CONTAINS "SOFTWARE PRODUCT", THE USE OF WHICH IS LICENSED BY THE AUTHORS, TO ITS CUSTOMERS FOR THEIR USE ONLY AS SET FORTH BELOW. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE. USING ANY PART OF THE SOFTWARE INDICATES THAT YOU ACCEPT THESE TERMS.

Software distributed under this license is distributed on an "AS IS" basis, WITHOUT WARRANTY OF ANY KIND, either express or implied. By installing, copying, or otherwise using this Product, you agree to be bound by the terms of the license and these conditions. If you do not accept the license agreement and conditions, you are prohibited by law from using this Product in any way. Upon breaking of any terms, this license is terminated and you must destroy all copies of the Product and its related documentation or material in your possession. You may also terminate this license by destroying all copies of the Product and its related materials.

The authors of this Product grants to you this personal, limited, non-exclusive, non-transferable, non-assignable license solely to use in a single copy of the Product on a single computer installation, and solely provided that you adhere to all of the terms and conditions of this Agreement. The foregoing is an express limited use license and not an assignment, sale, or other transfer of the Product or any intellectual property rights of licensor. The ownership of the Product and any intellectual property remain to the Authors. 

The license agreement may limit the number of entities handled by the Product you can configure or use. These entities may be "Companies" (independent accounting entity), "Corporations" (group of companies which share some information among them), "Users" (registered logins) and "Concurrent users" (physical concurrent connections to the Product) or others. Exceeding these limitations breaks the terms of this agreement.

You may not: disassemble, reverse engineer, modify, recompile, decompile or otherwise attempt to discover the source code of the Product; remove, obscure or alter any notice of copyright or other proprietary right present on or in the Program; or permit or authorize anyone else to take any action described in this sentence.

You agree to implement procedures to prevent other persons from obtaining access to or use of this Product without your knowledge and authorization. You agree not to use this Product in any way that may be deemed illegal or that may infringe law. Furthermore, you acknowledge the uniqueness of such Product and that the developers will suffer irreparable harm shall you fail to abide by the terms and conditions of this license. You further agree that the developers may, in addition to recovering legal damages, proceed in equity to obtain injunctive relief to enjoin you from violating the developers' rights in this Product.

By using the Software you acknowledge that you are responsible for complying with all laws and regulations applicable to the content, including copyright laws. As a condition to your use of the Software, you agree that you will not use the Software to infringe laws or intellectual property rights. You acknowledge that any liability for such infringement lies solely with you. You agree not to use this Software to produce content that may in any way be deemed illegal. You agree to indemnify, hold harmless, and defend the developers of this Software, their employers, subsidiaries, affiliates, successors, officers, directors and employees from and against any claims, torts, demand, damage, legal theory, or lawsuits, including attorneys' fees and other court related expenses, that arise or result from the creation, production, use or distribution of your content or from the use of this Software. Where these limitations do not apply for whatever reason, the developers's liability in all cases shall not exceed USD $1.00.

This Software is distributed in the hope that it will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE. USE AT YOUR OWN RISK. The developers will not be liable for any damages or losses of any kind from the use or inability to use this Product, even if the developers have been advised of the possibility of such damages. Where these limitations do not apply for whatever reason, the developer's liability in all cases shall not exceed USD $1.00. This warranty shall be void if the Product, as deemed by the developers, has been tampered with, modified, improperly used, or used on hardware or network environment other than that on which it is intended to run.


THE SOFTWARE IS PROVIDED UNDER THIS LICENSE ON AN "AS IS'' BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES THAT THE COVERED CODE IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE OR NON-INFRINGING. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE COVERED CODE IS WITH YOU. SHOULD ANY COVERED CODE PROVE DEFECTIVE IN ANY RESPECT, YOU (NOT THE AUTHORS OR ANY OTHER CONTRIBUTOR) ASSUME THE COST OF ANY NECESSARY SERVICING, REPAIR OR CORRECTION. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS LICENSE. NO USE OF ANY COVERED CODE IS AUTHORIZED HEREUNDER EXCEPT UNDER THIS DISCLAIMER.
